Reseller Terms & Conditions

Welcome to the Databox Reseller Program! By participating in this program, you agree to the following terms and conditions:
Eligibility
To participate in the Reseller Program, you must:
- Have a valid business license.
- Provide sales, marketing, customer success, analytics services, or business intelligence services to clients.
Reseller Rights
As a reseller, you are granted a non-exclusive, non-transferable right to market and sell Databox’s products/services in accordance with these terms.
Subscription Requirements
Reseller client users must purchase their own subscription in order to be added as users on their Client Account. This subscription will be associated with and accessible from the Reseller Account. Resellers are not required to purchase a Databox subscription, but it is encouraged.
Pricing Policy
- Resellers are prohibited from charging clients directly for access to the software.
- Resellers must adhere to the pricing listed on databox.com/pricing and are not permitted to charge different rates.
Order Processing
- All reseller client orders must be processed through Databox’s billing system. Resellers are allowed to enter their own credit card to purchase the subscription, but they assume full financial responsibility for the client subscription by doing so.
- Resellers are responsible for ensuring accurate order fulfillment and customer service. Resellers will be assigned a Databox Customer Success Manager once they successfully co-sell their first deal with us.
Onboarding and Support Responsibilities
- Resellers are responsible for providing onboarding, setup help, and ongoing assistance to clients whose accounts are managed under the agency account.
- Reseller Clients will not be assigned a Customer Success Manager at Databox. They may contact Customer Support through the chat widget in their account for assistance with product issues.
Marketing and Promotion
- Resellers must use approved marketing materials provided by Databox, or receive approval of marketing campaigns they create.
- All marketing activities must comply with applicable laws and regulations.
- Resellers are prohibited from making false or misleading claims about Databox or its products/services.
- You are not permitted to purchase ads that could be considered as competing with Databox’s own advertising, including, but not limited to, our branded keywords and brand variations (along with misspelled brand name). You are only permitted to purchase ads and non-branded keywords that are approved by Databox. All paid advertising requests must be submitted through this form for approval. If running ads, you need to direct the ad to your own website, blog post, or standalone landing page.
- Resellers may not use any domains and/or URLs that contain Databox Trademark as the top-level display domain or URL in any advertisement.
- Databox’s Trademark may not be displayed in the headline or body of any advertisement being promoted by the Reseller.
- When engaging in paid search engine campaigns, Resellers must use their own domain and/or URL in their ads.
- Databox’s Trademarks cannot be used as a part of a Reseller’s website domain name, blog, social media accounts, YouTube channel, Twitter username or any URL associated with the Reseller’s account.
- Databox does not allow any trademark bidding on any search engine or paid placement service or site, including but not limited to, Google, Yahoo, Bing!, Ask and other similar services. Resellers may not bid on any Databox Trademarks.
- We reserve all rights to terminate The Agreement if we notice any reseller brand (Databox Trademark) bidding (or its variations). You must immediately discontinue all use of our trademark and references to this Reseller Program from your website(s) and other collateral. Termination or expiration of this Agreement shall not cause a Customer’s subscription agreement to be terminated.
Commission Structure
- Resellers will receive 30% commission on their client account subscriptions for the life of the client subscription, provided that: (1) they remain a client account accessible underneath the reseller account, and (2) the Reseller has an active professional services agreement with the end client.
- Payments due to you will be made within forty-five (45) days after the end of each fiscal quarter, depending on the terms of the client subscription.
- We may withhold payment until the amount that we owe you is above $100 USD.
- If during the course of working with us as a Reseller, you decide to unlink your end-client’s account from your Reseller account (e.g. – you and your client are no longer working together), Databox – in its sole discretion – may continue paying you revenue share for a duration of no longer than twelve (12) calendar months, provided that the client continues paying for their Databox subscription.
- Revenue Share will be paid based on revenue received by Databox. Any refunds or credits issued to client subscription will result in a reduction on revenue received.
- You are responsible for payment of all taxes applicable to the revenue share. You will be assessed sales tax unless you provide us with a valid reseller certificate that indicates tax should not be applied to the Revenue Share amount. All amounts payable by us to you are subject to offset by us against any amounts owed by you to us.
Confidentiality
Resellers must keep all proprietary information, including pricing, marketing strategies, and customer data, confidential and must not disclose this information to third parties without Databox’s written consent.
Governing Law and Dispute Resolution
- This Agreement shall be governed by the laws of the State of Massachusetts, USA.
- Any disputes will be resolved in the state or federal courts located in Massachusetts.
Non-Solicitation
- Resellers agree not to intentionally solicit Databox employees or contractors for employment during the term of this Agreement and for 12 months thereafter.
Termination
Databox reserves the right to terminate this agreement immediately for any breach of these terms.
Limitation of Liability
Databox shall not be liable for any indirect, incidental, or consequential damages arising from the reseller’s participation in this program.
Modifications
Databox reserves the right to modify these terms and conditions at any time. Resellers will be notified of any changes.
By participating in the Reseller Program, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
